Agreement

This Agreement specifies the Terms and Conditions for access to and use of salesexpert.me (the "Site") and describes the terms and conditions applicable to your access of and use of the Site.

Overview and Subscription

The Site has developed and licenses a system which allows Subscribers to promote programs of their choice (the "Service"). By accepting this Agreement, you wish to subscribe to and participate in the Site and use the Service. You understand that participation in the Service will involve establishing contractual arrangements with third parties.

The Site operates and manages the Service to assist Subscribers in building their business on the Internet. All Subscribers must read this agreement carefully and agree to all terms and conditions before registering and using the Service.

Proprietary Rights and Ownership

1. The Service is owned and copyrighted by the Site and laws. Through use of the Service, you do not acquire any ownership interest in the Content, the Service, or improvements or modifications to the Service.
2. All Content included on this site is and shall continue to be the property of the Site or its content suppliers and is protected under applicable copyright, patent, trademark, and other proprietary rights. Nothing in this Agreement shall be construed to transfer any of the Site's proprietary or intellectual property rights to user.

Confidential Information

1. Through use of the Service, you may have access to certain information that is confidential and proprietary to Provider. You agree to protect all Confidential Information by using a reasonable degree of care to prevent unauthorized use, dissemination, or publication.
2. You agree that a breach of the confidentiality provisions of this Agreement would cause irreparable harm to the Site. You therefore agree that the Site shall be entitled to injunctive relief to enforce the terms of this Agreement.

Method of Acceptance

You agree that by subscribing/registering to the Site, you are accepting the terms and conditions in this Agreement for use of the Service.

License

1. The Site hereby grants you a nontransferable, non-exclusive, worldwide license to use the Service, subject to the conditions specified herein.
2. You agree to use the Service for your sole and exclusive personal benefit.
3. You agree not to sublicense, assign, or transfer the Service except as expressly provided herein.
4. Any modification, publication, transmission, transfer, reproduction, distribution, or other exploitation of Content is prohibited without the Site's prior written consent.

Registration, Password and Security

1. To use the Service, you must register by providing current, complete and accurate information. You shall not knowingly provide inaccurate information with the intent to create a false identity.
2. You agree not to provide false or misleading information in the administrative panel or your web site, including false e-mail addresses in outgoing emails.
3. You are entirely responsible for maintaining the confidentiality of your password and account, and for any and all activities that occur under your account.
4. You agree to notify the Site immediately of any unauthorized use of your account or any breach of security.
5. The Site may rely on any data, notice, instruction or request furnished by you which is reasonably believed to be genuine.
6. You shall notify the Site at support@salesexpert.me of any known or suspected unauthorized uses of your account or breach of security.
7. Any fraudulent, abusive or otherwise illegal activity may be grounds for termination and referral to appropriate law enforcement agencies.
8. The Site reserves the right to send e-mail to you for purposes of informing you of applicable offers, changes or additions to the Service.

Subscriber Conduct

1. The Site retains the right to determine whether a Subscriber's conduct is consistent with the Terms of Service and may terminate Service if a Subscriber's conduct is found inconsistent therewith.
2. Any unauthorized use or resale of the Services is expressly prohibited. You agree not to:
   1. Use the Service in connection with chain letters, junk email, pyramid schemes, spamming or any duplicative or unsolicited messages;
   2. Harvest or collect information about others, including email addresses, without their consent;
   3. Create a false identity or forged email, or attempt to mislead others as to the identity of the sender;
   4. Transmit unlawful, harassing, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable material;
   5. Transmit material that may infringe intellectual property rights or other rights of third parties;
   6. Libel, defame or slander any person, or infringe upon any person's privacy rights;
   7. Transmit material that contains viruses, Trojan horses, worms, time bombs, or any other harmful programs;
   8. Violate any law regarding the transmission of technical data or software;
   9. Interfere with or disrupt networks connected to the Service;
   10. Attempt to gain unauthorized access to the Service or other accounts through any means;
   11. Interfere with another Affiliate's use and enjoyment of the Service.

Forbidden Content

1. You agree not to host, post or promote any website which advocates pornography, gambling, pyramid schemes, or any unethical business method. Affiliates are prohibited from making any income claims or illegal product claims. This action will result in immediate termination of your account without refund. Service interruptions caused by subscriber spamming will be billed at $500.00/hour with a $1,000 minimum.
2. The Site reserves the sole right to ban any business method or tool from being promoted through the Service.
3. Discovery that your site promotes forbidden business methods constitutes grounds for immediate suspension or termination and loss of all content in your database.
4. The Site does not take responsibility for monitoring all usage of the system. It is your responsibility to ensure all usage complies with these Terms and Conditions.

Payments

1. The Site reserves the right at any time to charge fees for access to the Service and will post a notice on its website if it elects to do so.
2. If you order the Service or any fee-based service, you authorize the Site to charge your account a monthly subscription fee.
3. It is your responsibility to keep your payment information accurate and current. If a monthly payment cannot be processed, you will receive a minimum of ten (10) business days notice to rectify the situation.
4. If you contact the Site directly with a specific request for cancellation and refund with substantial justification, the Site may, in its discretion, issue a full refund of your first month's payment.

Submitting / Importing Information

1. You represent that any emails you upload are "Opt-in" contacts that have specifically requested information regarding your business, and that any content you upload is solely owned by you or provided with the express authority of the owners.
2. By submitting Content to any public area, you automatically grant the Site a royalty-free, perpetual, irrevocable, non-exclusive right to use, reproduce, modify, distribute and display such content worldwide.
3. You understand that your uploads and transmissions may be intercepted, and that all risk associated therewith is solely yours. You shall not upload content which is libelous, defamatory, obscene, pornographic, abusive, or otherwise violates any law.
4. The Site reserves the right to disclose information about sales and usage generated by the Service in forms that do not reveal your personal identity.

Idea Submissions

If you send us creative suggestions, ideas, notes, drawings, concepts or other information, the information shall be deemed and shall remain the property of the Site. None of the information shall be subject to any obligation of confidentiality and the Site shall not owe any compensation for any use or disclosure of the information.

Compliance with Laws

You agree to comply with all applicable laws regarding your use of the website. You further agree that information provided by you is truthful and accurate to the best of your knowledge.

Indemnification

1. You agree to indemnify the Site and hold it harmless from any and all liability, losses, or damages arising from or related to this Agreement.
2. The Site shall provide you reasonably timely written notice of any asserted claim, after which you shall at your own expense defend, protect and save harmless the Site against said claim.
3. In the event you fail to defend and indemnify, the Site shall have full rights to defend, pay or settle said claim with full rights of recourse against you for all fees, costs, expenses and payments made.
4. Upon default, you further agree to pay all reasonable attorney's fees necessary to enforce this Agreement.
5. The indemnity obligations shall be unlimited as to amount or duration and shall be binding upon the parties, their successors, assigns and personal representatives.

Limitation of Liability; No Warranty

1. You expressly agree that use of the Service is at your sole risk.
2. The Site shall have no liability of any kind for damages or loss arising as a consequence of downtime or unavailability.
3. In no event shall the Site's liability related to any services exceed the total fees paid by you for such services. The Site shall not be liable for any direct, indirect, special, incidental, or consequential damages, including loss of business profits or business information.
4. The Site does not warrant that its services will be uninterrupted or error free, nor does it make any warranty as to the results that may be obtained from use of its services or the accuracy or reliability of any information.
5. The Site, its officers, agents, or anyone involved in providing services shall not be liable for any damages resulting from use or inability to use services, mistakes, omissions, errors, defects, delays in operation or transmission, or any failure of performance.
6. The Site will exercise no control over the content of information passing through its network except those controls expressly provided herein.
7. The Site makes no warranties of any kind, express or implied. The Site also disclaims any warranty of merchantability or fitness for a particular purpose.

Use of Information

The Site reserves the right, and you authorize the Site, to use and assign all information regarding site uses by you and all information provided by you in any manner consistent with our Privacy Policy.

Copyrights and Copyright Agent

If you believe your work has been copied in a way that constitutes copyright infringement, please provide a notice containing all of the following to our Copyright Agent:

1. An electronic or physical signature of the person authorized to act on behalf of the copyright owner;
2. A description of the copyrighted work you claim has been infringed;
3. A description of where the infringing material is located on the Site;
4. Your address, telephone number, and email address;
5. A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
6. A statement made under penalty of perjury that the above information is accurate and that you are the copyright owner or authorized to act on their behalf.

Applicable Law

You agree that the laws of India, without regard to conflicts of law provisions, will govern these Terms and Conditions and any dispute that may arise between you and the Site or its affiliates.

Severability

If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

Termination

The Site may terminate this Agreement at any time, with or without notice, for any reason. Upon termination, you shall no longer be entitled to use the Service and the licenses granted hereunder shall terminate. You shall immediately return or destroy all Proprietary Information, but the terms of this Agreement will otherwise remain in effect.
